Terms & Conditions


1. Contract Overview: This agreement ("Contract") outlines the terms between you (the "Customer") and Midwest Exterior for the roofing project. It incorporates all the following documents:

The Proposal: This includes details of the project scope, including drawings, plans, and specifications.

These Terms and Conditions: This document outlines the rules and expectations for both parties.

Any Addendums or Change Orders: These may modify the original proposal to reflect any agreed-upon changes.

The Exclusive Warranty: This document details the warranty coverage you receive for the work performed.

This Contract is the complete and final agreement between you and Midwest Exterior. It supersedes any previous discussions, promises, or written/verbal agreements.

2. Project Details:

BDR's Responsibility: BDR will complete the roofing project following the agreed-upon terms ("Contract Documents"), manufacturer instructions, and all applicable laws.

Work Methods: BDR has the sole discretion to choose the methods, techniques, and order of steps to complete the project.

Materials and Cost: Unless otherwise stated in the Contract Documents, Midwest Exterior is responsible for providing and paying for all materials, labor, tools, and equipment necessary to finish the job.

Material Variations: Slight variations in color, texture, or surface characteristics of materials may occur. Midwest Exterior may substitute similar materials if originally specified ones are unavailable.

Venting & Circulation: Midwest Exterior does not evaluate your existing ventilation or circulation systems.

Subcontractors: Midwest Exterior may utilize subcontractors or other third parties to provide labor, materials, or equipment for the project. These parties are not directly part of this Contract.

Permits & Fees: The project cost does not include any permits, services, or access fees required by local authorities.


3. Changes to the Project

You (the customer) can request changes to the project, but this might affect the final price. If we discover unforeseen issues like damaged materials or code violations, the price might increase to cover the repairs. We'll discuss any price adjustments with you before proceeding.

4. Start and Finish Dates

The start date and project duration in the proposal are estimates based on normal working conditions. We can't guarantee completion within that timeframe. We're not responsible for delays caused by events beyond our control, such as bad weather, unexpected construction details, or permitting issues.

5. Payment

You'll pay us in installments as we complete different stages of the project, as outlined in the proposal. We'll determine the final balance due upon completion. Late payments will accrue interest, and returned checks will incur a fee. Credit card payments come with a processing charge. By making your final payment, you waive any claims against us except for those covered in the separate warranty document.

6. About the Parties and Insurance

This contract is between you (the customer) and us (Midwest Exterior).We are a separate entity from any other companies related to BDR that may have provided you with proposals. This contract doesn't affect any agreements you have with those companies. You might have insurance that covers the project, but we can't guarantee coverage or payment from your insurer. If your insurance covers part of the cost, you'll still be responsible for the remaining balance. We (or any subcontractors) can't file claims with your insurance company.

7. Your Responsibilities

You'll need to provide clear access to the work area and allow us to store materials on your property. Keep driveways accessible during work hours, including snow and ice removal. Provide electricity, water, and utilities for the project. Locate underground utilities before any digging begins. Remove or secure any personal belongings like satellite dishes, solar panels, or plants before we start work. You're responsible for any damage to your own property, except for damage caused by our negligence. We won't be responsible for realigning satellite dishes or solar panels. The project might involve using dumpsters, heavy equipment, and construction vehicles on your property. You hold us harmless for any damage caused by these items or debris left behind after completion. We might not always keep gates and doors closed - you hold us harmless from claims arising from this. Any leftover construction materials are our property. You hold us harmless for any pre-existing conditions discovered during the project. We might need to adjust the price if unforeseen problems arise after work begins, such as material or labor cost increases. We can't remove hazardous materials like lead paint or asbestos - work will stop until they're removed. You hold us harmless for damages caused by mold, fungus, or other biological materials. You agree to indemnify us for any legal fees or damages arising from your breach of this contract or your negligent actions.

8. Our Rights

You can't withhold payment or attempt to charge us additional fees without agreement. Failure to pay the full amount after completion is a breach of contract. If you fail to make a payment or violate any terms of this contract, we can stop work and potentially terminate the contract, requiring payment for completed work, additional costs, and anticipated profit on uncompleted work. We can also terminate the contract for any reason, with seven days' written notice, and require payment for completed work.

9. Our Liability

We warrant that the completed project will comply with our separate warranty document. We disclaim any other warranties, expressed or implied, including those related to merchantability, habitability, or fitness for a particular purpose. You waive any claims for special, indirect, or consequential damages, such as delays, lost profits, or equipment downtime. Your only remedy for claims related to the project is under our separate warranty document. All warranties are conditioned upon your full payment for the project. Our maximum liability, along with that of our employees, subcontractors, and consultants, is limited to the lesser of $10,000 or the amount you paid us.

10. Disputes and Resolutions: If there's a disagreement about the project or payment, we (Midwest Exterior) get to choose how to settle it – either arbitration or court. If we choose arbitration, you (Customer) agree that's the only way to resolve it definitively. The arbitration will take place in Indianapolis, Indiana, following the rules set by either the American Arbitration Association (Construction Industry) or the Better Business Bureau (ADR). No matter which method is chosen (arbitration or court), if we win the case, we can recover our costs, including lawyer fees.

12. Important Legal Stuff: This agreement follows the laws of Indiana. You (Customer) acknowledge reading and understanding these terms, which define the relationship between us Midwest Exterior and you (Customer). You also agree that you haven't relied on any promises or information not explicitly stated here. If any part of this agreement is found to be invalid, the rest of the agreement remains enforceable.

MIDWEST'S EXCLUSIVE WARRANTY


13. Warranties from Others: Once you've paid for everything, we (Midwest Exterior) will transfer any warranties provided by the manufacturers or suppliers of the installed materials (appliances, equipment, etc.) to you (the Customer). However, we (Midwest Exterior) won't be responsible for these warranties - you'll need to deal directly with the manufacturer or supplier for any warranty claims.

14. When Does the Warranty Start?: The "Warranty Date" refers to the earlier of two options: (a) the start date of any manufacturer or supplier warranties, or (b) the date your project is substantially finished, allowing you to move in and use the property as planned in the contract.

15. Our Additional Labor Warranty: This section outlines an additional warranty we (Midwest Exterior) offer on the labor involved in installing your roof. Here's the breakdown:

What's Covered: We guarantee the quality of our workmanship for installing the roof system, as long as the issue is with our labor, not the materials themselves. This warranty lasts for the same duration as the original manufacturer's warranty on the roofing materials (not exceeding that timeframe).

What We'll Do: If we find a defect caused by our workmanship, we'll either repair or replace the affected area at our discretion.

Extended Warranty on Repairs: If we do a repair or replacement under this warranty, the warranty coverage gets extended to apply to the repair itself for the remaining period of the original warranty.

Important Note: This additional labor warranty has some limitations (explained in paragraph 4 of the original document, not included here).


Transferring the Warranty:

You can transfer the warranty to a new homeowner, but they'll need to: Send a copy of the ownership deed. Pay the full contract price (if not already paid). Pay a $25 administrative fee. The new homeowner will only get the remaining warranty period you had left.

Free Roof Inspections (for a limited time):

You (or the new homeowner, if you transferred the warranty) get a free roof inspection every 5 years for the first 10 years. You must schedule the inspection within 60 days before or after the 5-year mark (and every 5 years after that).The warranty is void if you miss the inspections. Warranty Coverage:

The first 10 years cover 100% of labor costs for repairs. After 10 years, coverage is prorated based on the remaining warranty period.

Warranty Expiration:

The warranty ends when the shingle manufacturer's warranty expires.

What's Not Covered:

The warranty won't cover repairs if: You haven't fully paid Midwest Exterior. You hire someone else to repair the roof without their permission. You don't report roof damage within 30 days of noticing it. The warranty also excludes damage caused by:

-Extreme weather events.

-Structural issues with your house.

-Improper installation of additional equipment on your roof.

-Ice dams or faulty flashing.

-Problems with your siding, chimney, or skylights .

-Poor ventilation.

-Mold or mildew growth.

-If your roof has flat sections, standing water for short periods (up to 72 hours) is normal. Midwest Exterior may use similar but not identical materials for replacements if the original product is discontinued.


Manufacturers sometimes stop making certain products, including shingles, or they might change the colors available. Because of this, Midwest Exterior [presumably the company offering the warranty] cannot be held responsible if replacement shingles don't exactly match the original color, especially after normal wear and tear. If Midwest Exterior has to replace shingles under this warranty, they may use a similar product with comparable quality or price, even if the original product is no longer available.
